Nonprofit Board of Directors


Nonprofits rely on a well-functioning Board of Directors to accomplish their objectives. They are seeking people with a passion for the mission that have connections to those they serve, and have experience in overseeing business operations at some level.

Professionals from all kinds of companies and organizations are on boards of non-profit organizations. It’s an excellent opportunity to build a network, develop new skills, and contribute to the community.

According to a Korngold survey, 78 percent of board members stated that their time on a nonprofit board has given them an appreciation of viewpoints and opinions that were not their own. This is vital in a board environment for nonprofits where decisions have to be made with limited resources and the board must make informed financial decisions.

Nonprofit board members have several legal responsibilities and obligations that include the Duty of Care as well as the Duty of Loyalty. This means that board members should avoid conflicts of interest and do not abuse their position by using the funds of the organization for personal benefit. For example, if the board is voting on a salary increase for the executive director and you own the director’s business and you are the director’s shareholder, you must refrain from voting on the issue because of a conflict of interest.

Many nonprofits also have permanent (sometimes called «standing») committees which deal with ongoing issues or other needs when they arise. These committees are comprised of board members who are required to disclose possible conflicts of interest to other board members.
